These Terms contain provisions that materially affect your legal rights, including (a) an "AS IS" disclaimer of all warranties, (b) a strict cap on our liability, (c) an indemnification obligation, (d) a binding individual-arbitration clause, and (e) a class-action waiver. By creating an account or otherwise using the Platform, you accept these Terms in full. If you do not agree with any provision of these Terms, do not create an account and do not use the Platform.
The capitalized terms below have the following meanings throughout these Terms.
You agree to be legally bound by these Terms by (i) creating an account, (ii) checking the Terms-acceptance box during signup, (iii) clicking "Accept" on any other prompt referencing these Terms, or (iv) accessing any part of the Platform on or after the effective date above. These Terms form a binding contract between you and SitePath.
If you do not have authority to bind your organization, or if your organization has not authorized you to accept on its behalf, you must not accept these Terms.
SitePath compiles county-level research on solar permitting environments, ordinances, board composition, market saturation, regulatory trajectory, data-center siting signals, energy-storage rules, and related public-record information across every county of the United States. The Platform presents that research through an interactive map, comparison tools, exportable reports, and (for eligible plans) AI-assisted summaries.
The Data is informational only. It is not legal, regulatory, investment, tax, engineering, real-estate, or any other form of professional advice. It is not a substitute for primary-source verification or licensed counsel. Decisions made in reliance on the Data are made solely at your own risk and on your own judgment. See Section 16.
The Platform is intended for business and professional use by individuals 18 years of age or older with the legal capacity to enter into a binding contract. By creating an account, you represent that you meet these requirements and that the information you provide is accurate, current, and complete. You must update your information promptly when it changes.
One account per individual unless we authorize otherwise in writing. Seat sharing on a single account violates these Terms and may result in suspension under Section 20.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not authorized by you. You will (a) maintain a strong password and not share it, (b) notify SitePath promptly at Support@sitepathintel.com of any suspected unauthorized access, and (c) ensure all Authorized Users on your account comply with these Terms. SitePath will not be liable for losses caused by unauthorized account use resulting from your failure to maintain confidentiality of credentials.
The Platform offers free and paid plans. The features and limits of each plan are described on the pricing page in effect at the time of purchase and may be revised from time to time with prospective effect.
Paid plans renew automatically at the end of each billing period (monthly or annual, as you select) at the then-current rate until canceled. You authorize SitePath, through its payment processor (Stripe), to charge the payment method on file for all applicable fees plus any taxes.
SitePath may change recurring fees with at least thirty (30) days' notice by email to the address on your account. Continued use after the change takes effect constitutes acceptance of the new price. If you do not accept, cancel before the change takes effect.
You may cancel at any time from your account page or by contacting Support. Cancellation takes effect at the end of your current paid period; you retain access through that date.
Fees already paid are non-refundable except where required by applicable law or expressly stated in a written order form signed by SitePath. Free trials, if offered, automatically convert to a paid subscription unless canceled before the trial ends.
If a renewal payment fails, SitePath may retry the payment and/or suspend access until payment is successful. Repeated failure may result in termination under Section 20.
Fees are exclusive of any applicable sales, use, value-added, or similar taxes, all of which are your responsibility unless we are required by law to collect them on your behalf.
Subject to your continued compliance with these Terms and payment of applicable fees, SitePath grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Data for your own internal business purposes during the term of your Subscription. All rights not expressly granted are reserved by SitePath.
You will not, and will not permit any third party to:
Violations of this Section may result in immediate suspension or termination under Section 20, in addition to any other remedies available to SitePath.
You retain ownership of any User Content you submit to the Platform. You grant SitePath a worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, display, and otherwise use the User Content solely to operate and improve the Platform and to provide it to you. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party right.
SitePath does not claim ownership of your watchlists, exported reports, comparisons, or notes. We do not sell, license, or share User Content with third parties for advertising, lead-generation, or any commercial purpose unrelated to operating the Platform. See our Privacy Policy for details.
From time to time SitePath may make pre-release, alpha, beta, or "preview" features available to some or all users ("Beta Features"). Beta Features are provided "AS IS" and "AS AVAILABLE", are not subject to any service-level commitment, and may be modified, suspended, or removed at any time without notice. Sections 17 and 18 apply to Beta Features with full force, and SitePath disclaims any obligation to make any Beta Feature generally available.
The Platform integrates with third-party services that you may interact with separately, including Stripe (payments), Netlify (hosting and identity), Resend (email delivery), Anthropic (AI brief generation), OpenStreetMap and Nominatim (mapping and geocoding), and optional analytics providers (Google Analytics, Microsoft Clarity). Your interactions with those services are governed by their own terms and privacy practices, and SitePath is not responsible for their acts or omissions. Use of any feature that depends on a third-party service constitutes your acceptance of that service's terms.
Each party may receive information from the other that is marked or reasonably understood to be confidential ("Confidential Information"). Each party will use the other's Confidential Information only as needed to exercise its rights or perform its obligations under these Terms, will protect it with the same degree of care it uses to protect its own (and no less than reasonable care), and will not disclose it except to employees and contractors bound by comparable confidentiality obligations. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known without restriction, was independently developed, or is required to be disclosed by law (subject to advance notice where lawful).
SitePath collects and processes personal data as described in the Privacy Policy. To the extent SitePath processes personal data on your behalf or as your service provider/processor, the Data Processing Addendum applies and is incorporated by reference. If your use of the Platform is subject to the European Union General Data Protection Regulation, the UK General Data Protection Regulation, the California Consumer Privacy Act (as amended by the CPRA), or any other comparable data-protection law, the DPA — together with its Standard Contractual Clauses and Annexes — governs the parties' respective roles and obligations with respect to that personal data.
The Platform, including all software, methodology, scoring algorithms, compiled Data, design, trademarks, logos, and look-and-feel, is owned by SitePath or its licensors and is protected by copyright, trademark, trade-secret, and other laws of the United States and other countries. Except for the limited license in Section 7, no rights are granted to you in or to the Platform, the Data, or any SitePath intellectual property. Feedback you provide may be used by SitePath without obligation to you.
SitePath respects the intellectual-property rights of others. If you believe that material on the Platform infringes your copyright, please send a notice that complies with 17 U.S.C. § 512(c)(3) to Support@sitepathintel.com with the subject line "DMCA Notice", including:
SitePath may remove material in response to a valid notice and may terminate the accounts of repeat infringers.
Nothing on the Platform is, or should be construed as, legal, regulatory, investment, tax, engineering, real-estate, or any other professional advice. SitePath does not represent you, does not owe you any fiduciary duty, and is not a substitute for licensed professionals. You are responsible for verifying any Data against the primary government source before making any decision in reliance on it.
THE PLATFORM AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEPATH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. SitePath does not warrant that the Data is accurate, complete, current, or error-free, that the Platform will be uninterrupted or secure, or that defects will be corrected. Regulatory conditions, ordinances, and board compositions change frequently; you are responsible for verifying any data point against primary government sources before relying on it.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) Excluded damages. NEITHER SITEPATH NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS WILL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITIES, LOST GOODWILL, OR LOST OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO THE PLATFORM, DATA, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
(b) Cap. SITEPATH'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID SITEPATH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (ii) US$100.
(c) Application. The foregoing limitations apply to every theory of liability — contract, tort (including negligence), strict liability, statute, equity, or otherwise — and survive termination of these Terms. They form an essential basis of the bargain between you and SitePath. Some jurisdictions do not allow certain limitations; in those jurisdictions SitePath's liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless SitePath and its affiliates, officers, employees, agents, and licensors from and against any and all third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
SitePath will promptly notify you of any such claim and may, at its option, control its defense and settlement with counsel of its choice; you will cooperate with SitePath in the defense at your expense.
SitePath may suspend or terminate your access at any time, with or without notice, if (i) you breach these Terms, (ii) your account is involved in suspected fraud, abuse, or unauthorized access, (iii) we are required to do so by law, or (iv) we discontinue the Platform or any portion of it. SitePath may also terminate without cause on thirty (30) days' notice, in which case prepaid fees for the unused portion of your current term will be refunded on a pro-rata basis.
On termination, Sections 1, 8, 9 (last sentence), 11, 13, 14, 17, 18, 19, 20–24, and 27 survive. Termination for your breach does not entitle you to any refund.
The Platform is controlled and operated from the United States and may be subject to U.S. export-control and sanctions laws, including the Export Administration Regulations (EAR) and economic sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent that you are not located in, and are not a national or resident of, any country subject to a U.S. embargo, and that you are not on any U.S. list of restricted parties. You will not use, export, re-export, or transfer the Platform or Data in violation of any applicable export-control or sanctions law.
The Platform and Data are "commercial computer software" and "commercial computer software documentation" within the meaning of FAR 12.212 and DFARS 227.7202. Use, duplication, or disclosure by the U.S. Government is subject solely to the rights granted under these Terms.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to the Platform, Data, or these Terms — whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory — will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or its Consumer Arbitration Rules for consumer disputes). Arbitration will take place in Wilmington, Delaware (or, at the User's election, via video conference) before a single arbitrator. The arbitrator's award is final and may be entered in any court of competent jurisdiction.
YOU AND SITEPATH EACH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Either party may seek injunctive relief in a court of competent jurisdiction for infringement or misuse of intellectual-property rights or unauthorized access to the Platform, and small-claims-court actions are exempt from this Section so long as they remain in small claims court.
You may opt out of this arbitration agreement by sending written notice to Support@sitepathintel.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Opting out does not affect the rest of these Terms.
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 23, the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any matter not subject to arbitration. You consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.
SitePath may update these Terms from time to time. We will notify you of material changes by email to the address on your account at least fourteen (14) days before the change takes effect, and the version string and effective date above will be updated. Non-material changes (such as typographical corrections) may be made without notice. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. The version you previously accepted remains available on request.
Notices to SitePath must be sent to Support@sitepathintel.com. Notices from SitePath to you may be sent by email to the address on your account, by in-product message, or by posting to the Platform; notice is effective when sent.
Entire agreement. These Terms (together with the Privacy Policy and, where applicable, the DPA and any written order form signed by SitePath) constitute the entire agreement between the parties regarding the Platform and supersede any prior or contemporaneous agreement.
Severability. If any provision is held invalid or unenforceable, the remainder remains in effect and the provision will be reformed to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms or any rights under them, by operation of law or otherwise, without our prior written consent. SitePath may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, pandemic, war, terrorism, civil disturbance, government action, internet or telecommunications failure, or third-party-service outage.
Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship.
Headings. Section headings are for convenience only and do not affect interpretation.
Counterparts & signatures. Acceptance of these Terms electronically has the same legal effect as a handwritten signature.
