These API Terms supplement, and are part of, the SitePath Terms of Service ("ToS"), which contain an "AS IS" disclaimer of all warranties, a strict cap on our liability, indemnification obligations, a binding arbitration clause, and a class-action waiver. The API and API Data are licensed for the internal use of a single named customer only — you may not redistribute, resell, sublicense, or rebuild the dataset, in whole or in part. The API Data is informational only, may contain errors, and must be independently verified against primary sources; it must not be the sole basis for any siting, permitting, investment, lending, or other material decision. Breach of the license or use restrictions causes SitePath irreparable harm and entitles SitePath to immediate injunctive relief. By creating an API key or making any API request, you accept these API Terms and the ToS in full; if you do not agree, do not access the API.

1. Scope & incorporation

These API Terms of Use ("API Terms") govern your access to and use of the SitePath application programming interface (the "API") and any Data made available through it (the "API Data"). They supplement and form part of the SitePath Terms of Service ("ToS") and, where applicable, the Data Processing Addendum. All terms of the ToS — including the license grant (ToS §7), acceptable-use restrictions (ToS §8), confidentiality (ToS §12), intellectual property (ToS §14), "no professional advice" (ToS §16), "AS IS" disclaimer (ToS §17), limitation of liability (ToS §18), indemnification (ToS §19), suspension and termination (ToS §20), arbitration and class-action waiver (ToS §23), and governing law and venue (ToS §24) — apply to your use of the API and are incorporated by reference. Capitalized terms not defined here have the meanings given in the ToS. To the extent of a direct conflict regarding the API, these API Terms control over the ToS.

3. Eligibility & provisioning

API access is provisioned by SitePath to specific enterprise customers under an active subscription or a written agreement that expressly includes API access; it is not a self-service feature and is not included by default. API Keys may be created only by the account owner. Authorized Users do not receive independent API entitlements and act under, and count against, the account owner's provisioning and responsibility. Customer is responsible for all activity conducted through its API Keys, whether by Customer, its Authorized Users, its service providers, or any other person using a key issued to Customer, and for any resulting fees or consequences.

4. License to the API Data

Subject to Customer's continued compliance with these API Terms, the ToS, and payment of applicable fees, SitePath grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the term of Customer's subscription or agreement, to (a) call the API, and (b) ingest, store, and use the API Data within Your Systems solely for Customer's own internal business purposes — for example, due diligence, underwriting, siting analysis, portfolio monitoring, and internal reporting. Customer may make a reasonable number of internal copies of the API Data as necessary for that internal use. The license does not extend to any affiliate, parent, subsidiary, successor, client, or other third party, and does not permit access by contractors except as strictly necessary to operate Your Systems on Customer's behalf and provided Customer remains fully liable for their acts and omissions. All rights not expressly granted are reserved.

5. Ownership & reservation of rights

As between the parties, SitePath and its licensors own all right, title, and interest in and to the API, the API Data, the Source Signal, and the compiled SitePath dataset, including all methodology, scoring, selection, arrangement, and compilation, and all intellectual-property and trade-secret rights therein. The compiled dataset and the underlying source corpus are SitePath trade secrets and were created through substantial investment. No title to or ownership of the API or API Data passes to Customer. No license or right is granted by implication, estoppel, or otherwise except as expressly stated in Section 4. Customer will not remove, obscure, or alter any proprietary notice or license header, and will not assert any right in or challenge SitePath's ownership of the API or API Data. Any suggestions or feedback Customer provides may be used by SitePath for any purpose without obligation, and Customer assigns to SitePath all rights in such feedback.

6. API keys & security

API Keys are SitePath Confidential Information and must be treated with at least the same care as Customer's own most sensitive credentials. Customer will: (a) keep API Keys secret and store them only in a secure secret-management system on Customer's server-side infrastructure; (b) never embed an API Key in client-side code, a browser or mobile application, a public repository, or any location accessible to unauthorized parties; (c) use separate keys per system and environment so individual integrations can be revoked without disruption; (d) not share, sell, transfer, or provide access to a key to any third party; and (e) promptly revoke and rotate any key that is or may be compromised, and notify SitePath at security@sitepathintel.com without undue delay. SitePath transmits API Keys only over encrypted connections, stores only an irreversible hash of each key, and honors revocation within a short propagation window. Customer remains responsible for all use of, and all fees and consequences arising from, activity under its keys until revocation is effective.

7. Rate limits, volume limits & anti-circumvention

The API is subject to per-key rate limits and monthly request ceilings as described in the API Reference and communicated in response headers. These limits are operational safeguards to protect service quality and to bound bandwidth and cost; they are not a committed service level and may be changed by SitePath at any time. Customer will not attempt to circumvent, disable, or defeat any limit, security control, or provenance control, including by rotating, sharing, aggregating, or creating multiple keys or accounts, by distributing calls to evade throttling, or by any automated means of bulk extraction beyond the license in Section 4. SitePath may throttle, queue, or suspend requests that, in its reasonable judgment, threaten the stability, security, cost, or fair availability of the API.

8. Restrictions

In addition to the acceptable-use restrictions in ToS §8, Customer will not, and will not permit or enable any person or system to:

Each restriction in this Section is a material term. Any breach is deemed a material breach of these API Terms and the ToS.

9. Source attribution & provenance

The API provides Source Signal metadata but does not provide the underlying source URLs or documents, which remain SitePath's proprietary work product and trade secret. Customer acknowledges that the Source Signal is an indicator of provenance and confidence, not a warranty of accuracy, and that SitePath is not the originator or guarantor of third-party source material. If Customer displays API Data to its internal users, Customer will not misattribute it, present it as independently verified when it is not, or represent SitePath as the source or guarantor of any underlying primary document. Provision of source documents, if any, is at SitePath's sole discretion and may be subject to additional terms.

10. Data accuracy & no reliance

The API Data is compiled from government, public, and third-party sources and from SitePath's own research and modeling. It is informational only and is provided to support, not replace, Customer's own analysis. It may contain errors, omissions, or out-of-date entries, and jurisdictional rules change frequently. As set out in ToS §16, the API Data is not legal, regulatory, investment, tax, engineering, real-estate, or other professional advice. Customer will independently verify any API Data against primary sources before relying on it, and will not use the API Data as the sole basis for any siting, permitting, acquisition, investment, lending, insurance, or other material decision, or for any use that could result in death, personal injury, or environmental or property damage. Any decision made in reliance on the API Data is made solely on Customer's own judgment and at Customer's own risk, and Customer assumes all responsibility for such use.

11. Confidentiality

In addition to ToS §12, Customer will treat as SitePath "Confidential Information" the API Keys, the non-public elements of the API and API Data, the source-provenance methodology, the rate/volume limits and their configuration, and any non-public documentation or communications regarding the API. Customer will not disclose Confidential Information to any third party, will use it only as necessary to exercise the license in Section 4, and will protect it with at least reasonable care. This obligation survives termination. The compiled dataset and source corpus are SitePath trade secrets; nothing in these API Terms grants Customer any right to disclose or exploit them.

12. No warranty; service levels

The API and API Data are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, as more fully set out in ToS §17. Without limiting that section, SitePath does not warrant that the API will be uninterrupted, error-free, secure, or free of harmful components, that the API Data will be accurate, complete, current, or fit for any purpose, or that any particular endpoint, field, dataset, or limit will remain available. Unless a written order form or Enterprise Agreement signed by SitePath expressly states an uptime or support service level, no service-level commitment applies to the API. SitePath may modify, deprecate, throttle, or discontinue any version, endpoint, field, or feature of the API at any time, and will use commercially reasonable efforts to give active API customers advance notice of a materially breaking change.

13. Liability & indemnification

Limitation. SitePath's total liability arising out of or relating to the API and API Data is subject to, and in no event exceeds, the limitation of liability in ToS §18. To the maximum extent permitted by law, SitePath will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, or for any decision made or action taken in reliance on the API Data, even if advised of the possibility. Where the API is provided at no charge or for evaluation, SitePath's aggregate liability will not exceed one hundred U.S. dollars (US$100).

Customer indemnification. In addition to ToS §19, Customer will defend, indemnify, and hold harmless SitePath and its officers, members, and employees from and against any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to (a) Customer's use of the API or API Data, (b) Customer's breach of these API Terms or the ToS, (c) any redistribution, resale, or unauthorized disclosure of the API Data, or (d) any decision, product, or service of Customer that relies on the API Data.

14. Injunctive relief & remedies

Customer acknowledges that the API Data and compiled dataset are unique and proprietary, that unauthorized redistribution, resale, reconstruction, or disclosure would cause SitePath immediate and irreparable harm for which monetary damages would be an inadequate remedy, and that SitePath is therefore entitled to seek immediate injunctive and other equitable relief to prevent or stop such conduct, in addition to any other remedy, without the necessity of posting a bond or proving actual damages, and notwithstanding any arbitration provision in the ToS. All of SitePath's rights and remedies are cumulative and not exclusive.

15. Suspension & termination

In addition to SitePath's rights under ToS §20, SitePath may suspend or revoke any API Key or Customer's API access immediately and without prior notice or liability if it reasonably believes there is a breach of these API Terms, a security risk, abuse or circumvention of limits, non-payment, or a legal or regulatory requirement to do so. On expiration or termination of Customer's subscription, agreement, or API access, the license in Section 4 ends and Customer will immediately cease all API calls and, within thirty (30) days, delete or destroy all API Data cached or stored in Your Systems (except where retention is required by law) and, on SitePath's request, certify such deletion in writing. Sections 5, 8, 9, 10, 11, 13, 14, 16, and 20, and any accrued payment obligations, survive termination.

16. Usage records & audit

SitePath logs API request metadata (such as key identifier, timestamp, endpoint, and source IP) to operate and secure the service, enforce limits, and detect misuse, in accordance with the Privacy Policy and DPA. Customer will maintain accurate records of how the API Data is stored and used within Your Systems for the term and for one year after. Where SitePath has a reasonable, good-faith basis to believe these API Terms have been breached, Customer will, on reasonable written notice, cooperate with an audit or certification of its compliance, conducted so as to minimize disruption and to protect the confidentiality of Customer's systems. If an audit reveals a material breach, Customer will promptly remediate and reimburse SitePath's reasonable audit costs, without limiting SitePath's other remedies.

17. Compliance, anti-circumvention & export

Customer will comply with all laws applicable to its use of the API, including data-protection, export-control, and sanctions laws. Customer will not access the API from an embargoed jurisdiction or on behalf of a sanctioned party, and will not use the API in a manner that circumvents these API Terms, any technical limit or security control, or any restriction on the scope of Customer's provisioned access. Customer is responsible for the legality of ingesting the API Data into Your Systems and for any onward internal use.

18. Enterprise agreements & precedence

If Customer and SitePath have entered into a signed master services agreement, enterprise agreement, or order form that expressly governs API access (an "Enterprise Agreement"), the terms of that Enterprise Agreement control to the extent they conflict with these API Terms, followed by these API Terms, and then the ToS. Absent an Enterprise Agreement, these API Terms together with the ToS constitute the entire agreement between Customer and SitePath regarding the API and supersede any prior or contemporaneous understanding. No purchase order, click-through, or standard terms issued by Customer will modify these API Terms, and any such terms are expressly rejected, unless agreed in a writing signed by an authorized officer of SitePath.

19. Changes to these API Terms

SitePath may update these API Terms from time to time. Material changes will be indicated by updating the version and date above and, for active API customers, by reasonable notice (for example, email or a notice in the API documentation). Customer's continued use of the API after an update takes effect constitutes acceptance of the updated API Terms. If Customer does not agree to an update, Customer must stop using the API.

20. General

Customer may not assign or transfer these API Terms or its API access, by operation of law or otherwise, without SitePath's prior written consent; any attempted assignment in violation of this Section is void. These API Terms create no third-party beneficiary rights. SitePath's failure to enforce any provision is not a waiver. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the remainder will remain in effect. Governing law, venue, arbitration, and the class-action waiver are as set out in the ToS and apply to these API Terms, subject to Section 14.
